Biography

Jean has a broad scope of trial skills and complex transactional experience. As a young litigator, she took court appointments in family law before she went to work as an Assistant Attorney General for the State of Texas in the Law Enforcement Defense Division, where she handled a substantial docket in state and federal courts, including civil rights actions, employment litigation, tort litigation involving law enforcement, and constitutional challenges. Jean later transitioned into a general business and corporate transactional practice with Selman, Munson & Lerner, P.C. in Austin, where she worked on various mergers and acquisitions, private equity transactions, general contracts, and business formation matters involving corporations, limited liability companies, and limited partnerships.

Representative Matters

Worked on the sale of the only national provider of testing and environmental compliances for underground petroleum storage tanks to a prominent private equity firm for over $40 million. The matter involved a competitive auction process, heavy diligence, and use of representation and warranty insurance.

Worked on the sale of a West Texas service company involved in the business of construction, installation and maintenance of oil and gas pipelines along with the fabrication of modular components to support production facilities and compressor stations for over $20 million.

Worked on the acquisition of a regional competitor, by a leading national provider of durable medical equipment. The transaction involved a rollover equity arrangement for the selling owner, earnout structuring, and post-closing employment agreements in the various jurisdictions wherein the target operated.

Worked on the sale of 32 Senior Nursing Facilities to a REIT and related operating entities, where the firm represented the Sellers for a purchase price in excess of $500 million. The transaction also included pharmacy, rehabilitation and construction assets.
