Geoff Long brings over 30 years of diverse and in-depth legal experience, across industries ranging from energy services and technology, building services, manufacturing, and entertainment properties to health care products and pharmaceuticals, to help serve his clients, their organizations, and the law firms for which Geoff has worked. Geoff’s experience includes working with public companies, private companies, from start-ups to mid-cap, private equity groups and family offices and private equity owned companies, on a high growth path to a potential liquidity event. Geoff’s work ranges from general corporate law to M&A and private equity funding.

In his work, Geoff has led multi-disciplinary teams of 10-20 attorneys, including both in-house and external members, to complete long-term and complex legal projects. Geoff has also worked closely with general counsels as an advisor and unofficial, adjunct member of their team and in the process become intimately familiar with the inner working of a general counsel’s role and responsibilities. Geoff has also periodically acted as an ad hoc GC. Geoff has a passion for helping start-up companies with sound ideas work to accomplish their dreams by providing the practical legal knowledge about starting, funding, and growing a business that they need. Geoff enjoys learning about his client’s business and listening to the issues they face so that he can bring his experience and that of other lawyers to meet their legal needs and help them accomplish their goals.

Geoff has built and continues to grow an extensive network of valuable business relationships that sometimes serve as a resource for his clients. Geoff has worked with many diverse types of people in a broad variety of situations, scenarios and circumstances and has helped build collaboration with diverse and sometimes conflicting interests.

Representative Matters

Represented multiple early-stage companies in the medical supply, energy services and restaurant facility operations with their private equity fund raising efforts and provided assistance with day-to-day matters that helped provide these companies the opportunity to continue to research and develop their products, devices, pharmaceuticals or facilities and to build out management teams and sales organizations.

Advised a client in mid-Stream Energy in connection with the creation of a joint venture to build and operate a fuel production facility using tax-advantaged strategies.

Advised a building services company owner, a medical company and a design company with M&A transactions allowing for the exit of existing equity holders or the acquisition of a new business line.

Worked on M&A transactions for a private equity group serving the middle market to help them acquire and grow companies in manufacturing industries including consumer goods packaging, roofing supplies, carpet backing, animal food products and x-ray film. These transactions and those in the bullet point below involved large, multidisciplinary teams that Geoff largely coordinated. These teams often consisted of both in-house personnel, other lawyers at Bracewell and outside financial and other legal advisors. In many cases, Geoff also served as a primary contact with these companies with respect to on-going legal work helping them with bolt-on acquisitions, addressing board and other corporate issues and day-to-day commercial issues that helped the companies to grow and minimize risk. Lastly, in some situations, Geoff served as an ad-hoc interim GC until such time as a GC was hired. One of these transactions involved closing approximately fourteen asset acquisitions in fourteen different countries on the same day. A separate transaction involved acquiring a business that consisted of approximately thirty-five different companies, each of which had a mix of different equity holders.

Worked on a public capital markets transaction and roll up for an intermodal transportation company which resulted in a combination of multiple companies.

Assisted an entertainment facility operator with a private equity capital raise and numerous day-to-day issues allowing such company to build and open a facility.

Served as un-official, ad hoc external general counsel for medical company incubator, a family-owned business, and businesses in energy engineering services and insurance services helping these companies to implement business strategies and minimize risk.

Advised a major public company with its growth strategy by assisting on numerous M&A transactions (including several international transactions). Assisted the same company with structural issues related to separating into two public companies. Geoff provided day-to-day assistance to the GC, having contact almost daily. In addition, Geoff also assisted an insurance brokerage company in its separation into two companies, each owned by one of two founders, and later assisted one of the founders in the sale of his company.

Represented companies on numerous roll-up acquisitions in HVAC, lawn services businesses and the intermodal trucking business.

Worked on multiple M&A transactions to help an international upstream energy company exit a particular business segment. Also, represented an energy service provider in its exit of a business segment largely in Mexico.

Advised several non-profits on day-to-day operating issues and combinations.
